Licensing

IMPACT TRAILER MUSIC LIBRARY license for:

This is an agreement between IMPACT TRAILER MUSIC LIBRARY  (hereinafter known as "LICENSOR" or "Us") and you, the end user (hereinafter known as  "You" or "LICENSEE"). By using our website and/or purchasing a license or subscription from us, you agree to be bound by the following terms and conditions (the"AGREEMENT") as same pertain to the license you purchase.

 

LICENSOR license grants you, the LICENSEE, a non-exclusive, worldwide license in perpetuity, in any media now known or  herein after devised to make use of the music you have purchased (hereinafter known as"SCORE") in accordance with the terms and conditions of this Agreement.

 

LICENSOR retains ownership of the SCORE. You may not claim ownership of the SCORE (or otherwise make it available) through any content detection and/or registration system (such as YouTube’s Content ID), even if synchronized with your own Project. This  license is non-exclusive and LICENSOR retains the right to sell licenses of the SCORE to third parties at its sole discretion.

 

LICENSOR further warrants and represents that to the best of LICENSOR’S knowledge after diligent investigation, such SCORES, and LICENSOR’S use thereof, shall not infringe upon or violate the right of privacy of, or constitute a libel or slander against, or violate any common law rights or any other rights of any person or entity.

 

LICENSOR makes all possible efforts to make sure that all the SCORES that comprise its online library are available at all times. However, LICENSOR makes no representations or warranties that all SCORE will be available at all times. LICENSOR may discontinue licensing certain SCORES at its sole discretion. In the event that LICENSOR gets a notice or otherwise concludes that any SCORE may be subject to a claim of infringement of another’s right for which LICENSOR may be liable, LICENSOR may require you to immediately stop using the SCORE, delete or remove the Recording from its premises, computer systems and storage (electronic or physical); and ensure that its clients do likewise. LICENSOR shall provide you with comparable content (which comparability will be determined by LICENSOR in its reasonable commercial judgment) free of charge, but subject to the other terms and conditions of this Agreement. 

 

 

Nothing in these terms shall be construed as constituting a partnership, joint venture, employment or agency relationship between you and Licensor. Each of the parties hereto has entered into this agreement at arms-length as an independent contractor.

You cannot use a SCORE for pornographic projects. You cannot use a SCORE for projects that discriminate against religion, national origin, race, color, or sex.

This License agreement cannot be edited, altered, modified, or terminated without written consent by both parties.

 

Commencement of Agreement This Agreement shall commence upon the date of execution, and all parties intend to be bound throughout the Term of the Agreement.
